Terms of Service

These Terms of Service ("Terms") govern the use of Star KH (the "Platform"), operated by Sherpa Agent Co., Ltd ("Sherpagent," "we," "us"). The Platform connects businesses ("Brands") with content creators and key opinion leaders ("Creators") in Cambodia for video-based marketing collaborations. By creating an account or using the Platform, you agree to these Terms.

1. What the Platform Does

Brands can search and view Creator profiles (category, follower/view range, gender, age range, platform presence, and an estimated price range) and submit an inquiry about a specific Creator.

Sherpagent staff review each inquiry, and, where the proposed budget is reasonable, mediate the scheduling and pricing discussion between the Brand and the Creator outside the Platform (e.g., by phone or messaging app). Upon successful agreement, Sherpagent records the deal and invoices the Brand, which includes a service fee (see Section 4).

The Platform does not itself host a chat, negotiation, or payment feature between Brands and Creators.

2. No Direct Contact / No Circumvention

This clause is central to the Platform's purpose: it protects Creators' privacy and preserves Sherpagent's role as intermediary.

Brands must not attempt to identify a Creator's real name, social media account, or direct contact information from the Platform, from a Creator's submitted video, or by any other means, except through information Sherpagent chooses to disclose during the mediation process described in Section 1.

Brands and Creators must not contact each other directly, negotiate, or enter into any agreement outside the Platform, without Sherpagent acting as intermediary, for any engagement that originated from the Platform. This includes, without limitation: contacting a Creator via a social media account identified from their video content; asking a Creator (directly or through a third party) for their real name or contact details; or agreeing to work together after the Platform introduced the Creator, without going through Sherpagent's invoicing process.

Violation of this clause may result in, at Sherpagent's discretion: immediate suspension or termination of the Brand's account; a penalty fee determined by Sherpagent, intended to compensate Sherpagent for the circumvented service fee; and/or legal action where warranted.

For Creators, violation of this clause may result in, at Sherpagent's discretion: immediate and permanent removal from the Platform; a charge equal to the service fee Sherpagent would have received for the circumvented engagement; and/or legal action where warranted.

Sherpagent acknowledges that it cannot technically prevent a Brand or Creator from independently recognizing each other (for example, from a face or voice in a video). This clause addresses the deliberate act of seeking out or using direct contact to bypass the Platform, not incidental recognition.

3. Creator Information and Privacy

Sherpagent collects Creator information (including real name and contact details) directly from Creators and stores it internally. This information is never shown to Brands. Only the following is shown to Brands: performance video, view/follower counts, category, gender, age range, platform presence, and an estimated price range calculated from aggregated data (never an individual Creator's exact rate).

Performance data (e.g., view counts) is self-reported by the Creator and reviewed by Sherpagent, not pulled automatically from social media platforms. Follower counts for supported platforms may additionally be refreshed periodically by Sherpagent from public profile pages.

4. Fees

Brands are not charged simply for searching or submitting an inquiry. The price shown to Brands (including the estimated price ranges shown on Creator profiles) already includes Sherpagent's service fee. Sherpagent pays the Creator their agreed compensation and retains the remainder as its service fee. Payment terms (currency, method, and due date) will be specified in each invoice.

5. Brand Obligations

Provide accurate company and contact information when submitting an inquiry. Provide a realistic budget; Sherpagent may decline to proceed with an inquiry it judges unrealistic for the requested scope. Use any Creator video or content provided during a collaboration only within the scope agreed during mediation.

6. Creator Obligations

Provide accurate profile information and up-to-date performance data. Provide video content that Sherpagent may host and display to Brands on the Platform. Confirm that submitted video content does not infringe third-party rights.

7. Content and Video Rights

Creators grant Sherpagent a license to host, store, and display their submitted video to Brands on the Platform for the purpose of matching. Ownership of the video content remains with the Creator unless otherwise agreed. Further usage rights (e.g., a Brand using the video as a paid advertisement) are negotiated case-by-case during mediation and are not automatically granted by submission to the Platform.

8. Disclaimer and Limitation of Liability

Sherpagent facilitates introductions and mediates deals in good faith. While Sherpagent does not guarantee the creative quality, outcome, or performance of any collaboration, Sherpagent does guarantee delivery: if a Creator cancels or fails to deliver the agreed video(s) after a deal is confirmed, Sherpagent will source a replacement Creator of comparable profile at no additional cost to the Brand, so the Brand still receives the agreed number of videos. Sherpagent is not a party to the underlying creative agreement itself beyond the scheduling/pricing/delivery terms it mediates. To the maximum extent permitted by law, Sherpagent's liability arising from use of the Platform is limited to the service fee paid for the relevant deal.

9. Suspension and Termination

Sherpagent may suspend or terminate a Brand's or Creator's access to the Platform for violation of these Terms, including but not limited to the no-direct-contact clause (Section 2).

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Kingdom of Cambodia, where Sherpagent is based and where Creators are located.

11. Changes to These Terms

Sherpagent may update these Terms from time to time. Continued use of the Platform after an update constitutes acceptance of the revised Terms.
